with更多地表示纯粹或者客观的关系,表示附带、一起的意思；而of则侧重表达、修饰前名词的属性、特征、特质等等,有更靠近抽象内容的含义.of附带的后名词,与with相比,更具有不可分割性.如果一段话里,所有语法上可以用with代替的of的地方都换成with的话,句子会生涩,意思也不准确或者不正确,就好象一直使用“...和...”“带着...的”这样的表达.
