什么是清洁提单？清洁提单是什么意思？清洁提单（Clean B/L）是指没有在提单上对货物的表面状况作出货损或包装不良之类批注的提单，它表明承运人在接收/装船时，该货物的表面状况良好。如果承运人对货物表面良好有异议，就加以批注。如（羊毛）“破包”、（新闻纸）“撕破”等。货物的表面状况是不需要用设备检验的，仅需目测。 在实践中，绝对清洁的提单是不存在的，货物表面状况不良往往表现为包装的轻微瑕疵﹑数量的少量短缺，这并不影响货物的质量，但承运人因此在提单上加批注会影响卖方结汇和提单转让，如果要求托运人更换货物，补足货物可能会耽误船期。此时托运人用保函换取清洁提单则保证了交易的迅捷和安全。不可否认这为欺诈提供了可乘之机。 清洁提单的签发通常船公司的提单，如果不加任何不良批注，就表明该提单是清洁已装船提单，一般客人信用证中都会要求全套的清洁提单，至于提单上是否显示CLEAN ON BOARD，船公司基本不会显示这些字样的，但是对于这一点，各个银行有不同的做法，大多数银行都不要求提单上显示CLEAN ON BOARD 字样。也就是说，他们不会把没有CLEAN ON BOARD 作为单据的不符点，但是有的银行就一定要有。比如部分地区的中国银行就会出现这个问题，一般接到信用证申请以后跟银行确认，他们针对信用证上的该条是否要求提单必须显示，如果要求，那赶快通知客人不要在单据要求中显示该条目，同时告诉客人原因。 清洁提单的签发要看LC怎么要求的，大多数是FULL SETS OF MARINE CLEAN ON BOARD B/L，提单无须写明clean on board字样，但有个别客户LC会要求B/L MARKED CLEAN ON BOARD，就只能要求提单上必须出现clean on board字样。 当然并非所有有关货物的批注都构成不清洁提单。例如，承运人对于提单上列有货物的数量、质量、价值或特性并不负责，即使托运人在提单上声明了内容、价值、重量、尺寸、标记、质量、数量等，承运人也视作不详。这些声明并不构成提单的“不清洁”。承运人对因包装性质（如装入纸袋、塑料袋内的货物）而引起损失或损坏予以保留的条款，即免责权利，也并不作为声明货物有缺陷，不构成“不清洁提单”。如果大副收据所列货物唛头、件数、重量等内容与提单所申报的不符，提单应根据大副收据作更正，这种更正过的提单应该说不构成不清洁提单，但可能遇到刁难挑剔的客户，也会以不洁提单为由而拒付。 在海运实践过程中，有些客户信用证要求在海运提单上显示“CLEAN ON BOARD”字样，实际上只要提单上没有特殊批注的提单均属于清洁提单，不影响银行结汇。而一般船公司都不会在提单上显示“CLEAN ON BOARD”，如MSC/NORASIA等等。HAPAG-LLOYD船公司如果要求可以显示在提单上，不过必须传真L/C正本复印件给到船公司，另外在提单的货描处必须加上： CLEAN ON BOARD ：WEIGHT，MEASURE，MARKS，NUMBER，QUALITY，CONDITION，CONTENTS，VALUE，QUANTITY， IF MENTIONED IN THIS B/L FUNISHED BY THE SHIPPERS AND COULD NOT BE CHECKED BY THE MASTER/CARRIER。 　不清洁提单（FOUL B/L）：货物交运时，其包装及表面状态出现不坚固完整等情况，船方可以批注，即为不清洁提单。实践中承运人接受货物时，如果货物外表状况不良，一般先在大副收据上作出记载，在正式签发提单时，再把这种记载转移到提单上。在国际贸易的实践中，银行是拒绝出口商以不清洁提单办理结汇的。为此，托运人应把损坏或外表状况有缺陷的货物进行修补或更换。习惯上的变通办法是由托运人出具保函，要求承运人不要将大副收据上所作的有关货物外表状况不良的批注转批到提单上，而根据保函签发清洁提单，以使出口商能顺利完成结汇。但是，承运人因未将大副收据上的批注转移提单上，承运人可能承担对收货人的赔偿责任，承运人因此遭受损失，应由托运人赔偿。那么，托运人是否能够赔偿，在向托运人追偿时，往往难以得到法律的保护，而承担很大的风险。承运人与收货人之间的权利义务是提单条款的规定，而不是保函的保证。所以，承运人不能凭保函拒赔，保函对收货人是无效的，如果承、托双方的做法损害了第三者收货人的利益，有违民事活动的诚实信用的基本原则，容易构成与托运人的串通，对收货人进行欺诈行为。由于保函换取提单的做法，有时确实能起到变通的作用，故在实践中难以完全拒绝，我国最高人民法院在《关于保函是否具有法律效力问题的批复》中指出：“海上货物运输的托运人为换取清洁提单而向承运人出具的保函，对收货人不具有约束力。不论保函如何约定，都不影响收货人向承运人或托运人索赔；对托运人和承运人出于善意而由一方出具另一方接受的保函，双方均有履行之义务。”承运人应当清楚自己在接受保函后所处的地位，切不可掉以轻心。 班轮运输是海洋运输的一种方式，是指在固定的航线上，以既定的港口顺序，按照事先公布的船期表航行的水上运输方式。班轮运输适合于货流稳定、货种多、批量小的杂货运输。旅客运输一般采用班轮运输。租船运输（Shipping by chartering），又称不定期船运输，是指包租整船或部分舱位进行运输。一般以租赁整船为多。定期船运输而言的另一种远洋船舶营运方式。它和班轮运输不同，没有预制定的船期表，没有固定的航线，停靠港口也不固定，无固定的费率本。船舶的营运是根据船舶所有人与需要船舶运输的货主双方事先签定的租船合同来安排的。
