　　安富利亚太区总裁邓建邦在接受记者采访时表示:“对于是否完全收购和黄剩余股份,公司目前正在考虑之中。”但是种种迹象表明,安富利完全拥有中联集团几乎没有悬念―当天发布会上一个值得注意的细节是,作为股权转让方的和黄集团,并没有派代表出席―这可以看做是和黄完全退出中联的一个征兆。 　　最近一段时间,记者对中联集团一直保持着高度的关注。但是安富利在毫无征兆的情况下“闪电”入主中联,还是让我颇感突然。但和黄集团转卖中联,倒是情理之中的事。记者查阅了和黄集团披露的2008年财务信息,和黄集团收入约3959亿元,而中联集团收入约3.5亿元,仅占和黄集团整体营收的1/1000―由此可见,中联在和黄集团属于相当边缘的业务,而且与和黄旗下的3G电讯业务几经整合都未成功,卖掉就成必然了。 　　这似乎是一桩双方都极其满意的交易:和黄卖掉了非核心业务,获得了不错的投资收益; 而对于之前在中国只做IT产品分销的安富利来说,通过中联的集成和服务,可以深入到金融、政府等行业,提供高附加值的解决方案和服务―这是它和像神州数码这样的对手竞争和抗衡必备的条件。 　　“安富利对中联的策略投资,不一定是针对神州数码的。在中国,有很多具有很强竞争力的公司,我们非常尊重这些竞争对手。” 邓建邦表示,“但是,中国市场肯定是我们业务拓展的重点,我们希望扮演一个重要的角色。” 　　而中联呢?在这桩交易中,中联集团只是一个配角,还是一次颇为主动的出击?中联国际董事、总经理苏星岸向记者透露了此次交易的内幕―苏星岸是促成和黄与安富利股权转让的重要推手,也为中联的前途做了一次自主的选择。据记者调查,中联集团选择安富利,并非偶然,两者之间早有渊源。2007年4月,中联集团将其东南亚地区从事分销业务的Azure科技公司以大约9000万美元的价格全部转让给了安富利集团,其直接推动者就是苏星岸。而且,据苏星岸介绍,安富利集团亚太区总裁邓建邦、亚太区副总裁郑德忠和苏星岸都曾供职于IBM,是交情深厚的“老朋友”。 　　“和黄有钱,但是它不能在技术上给中联支持和帮助。安富利不但有资金,而且懂这个行业,使得我们的战略方向更加清晰。”中联集团中国区运营副总裁奎建生向记者打了一个比喻,“这就好比是一个卖咖啡的店加盟了星巴克。” 　　2008年,中联集团业务收入中55%来自软件和服务,可以说中联转型取得初步成功。接下来如何发展,中联集团面临重大的选择。在此关头,中联再次选择了安富利。在当天的新闻发布会上,邓建邦表示:“安富利将帮助中联集团铸就中国金融IT服务领导者的地位。”而苏星岸也表示:“安富利的策略投资将重新激发中联的活力。” 　　 　　转型 重获新生 　　 　　中联转型的5年,被称为“卧薪尝胆”的5年。在这5年中,中联经历了一次洗礼。 　　“中联在这5年中经历了一次洗礼。无论是管理意识、经营意识,还是操作层面都进行了一次升级换代。” 奎建生对中联5年转型之路充满感慨,“过去我们可能追求的是‘量",现在追求的是‘质"; 过去我们可能求‘大",现在我们就是求‘强"。一个27年历史的企业,相比一个人而言就是暮年,但是我们因为成功转型而重获新生。” 　　中联的转型之路是从2002年～2003年开始的,当时中联集团经历着其发展历史上最困难的时期。2003年,中联集团引入了和记黄埔和新加坡发展银行的策略性投资,宣布向“亚太区顶尖的IT服务供应商”转型,在中国市场,中联的目标则是成为“银行业IT服务领导厂商”。 　　而真正让中联集团实现转型的是苏星岸。苏星岸曾经带领香港科联系统公司由传统的系统集成商转型为以方案和服务为主的IT服务商,并成为内地和香港市场的佼佼者―这也是和黄集团力邀苏星岸执掌中联集团转型大业的原因。 　　2007年,中联集团做出了“壮士断腕”之举,将占据半壁江山的分销业务(旗下Azure科技公司)全部出售。时任中联董事总经理一职的苏星岸表示,“Azure科技主要从事第三方系统和方案的分销,在可预见的将来,和中联集团的战略转型难以一致,对这一业务的剥离将使得中联更加集中精力和资源执行新的经营战略,也就是在大中华区向高增长和高价值的应用解决方案商转型。” 　　中联的转型其实是中国行业解决方案商的一个缩影。比如,神州数码的发展路径就与中联集团有着极大的相似性。 　　首先是成立时间相近。1987年,神州数码(当时隶属联想集团)就开始步入系统集成领域,而中联创立于1982年; 其次是两家公司都是以系统集成商概念在香港上市,中联是1995年,神州数码是2001年; 另外,两家公司几乎同时宣布向服务转型。2002年,神州数码提出了“IT服务中国”的 口号 ,宣布进军IT服务市场。2003年中联宣布向“亚太区顶尖的IT服务供应商”转型。 　　更为巧合的是,两家公司都在2008年实现了成功转型。奎建生在接受记者采访时表示,“近5年来,我们的业务比重发生了一个天翻地覆的变化,服务和软件占据核心,这对于提升我们整体的竞争力和持续发展能力,都是不得了的贡献。” 而神州数码IT服务业务也自2008年6月起,开始实现持续盈利,标志其转型取得了“战略性成功”。 　　中联转型的5年,被称为“卧薪尝胆”的5年。在和黄集团资金的支持下,中联致力于自主知识产权产品的开发。迄今为止,中联已拥有5个软件开发中心,并已开发出50多套拥有自主知识产权的银行和金融业务和管理解决方案。在中联银行业务解决方案的基础上,还拓展了中联集团财务管理、中联税务管理以及中联住房公积金管理等金融衍生产品业务解决方案。 　　从2008年开始,中联的市场表现可圈可点。据介绍,仅2008年上半年,中联集团就成功地在大中华区取得了超过两亿元的项目合约。2009年,中联集团也频频拿到大单,最近就有超过一亿元的合同额,其中包括广西农信项目、吉林农信项目和兰州银行等项目。 　　 　　悬疑 搏击未来 　　 　　中联集团开始重拾信心,萌发出前所未有的“回归领导者地位”的欲望。 　　记者注意到,在安富利发布的新闻通稿中特别提到,“中联集团将作为安富利旗下公司继续其业务运作,其管理层和中联集团品牌保持不变。”安富利的用心很明显,就是尽可能地消除因为资本层面的动荡可能给中联集团业务发展带来的负面影响。 由于资本运作后,市场中大多存在一些不稳定因素,这些是否也会影响到中联的管理团队; 安富利集团下一步是否会将其相关业务与中联集团做整合?诸多悬疑待解。 　　“我们希望能尽快回到业界领导者的位子上去。”谈到中联的未来,苏星岸踌躇满志。2000年前后,中联集团抓住了银行省级大集中的发展机遇,一跃成为当时中国市场最大的系统集成商。时至今日,在丢掉“冠军”头衔9年之后,在完成转型之后,在获得安富利的战略投资之后,中联集团开始重拾信心,萌发出前所未有的“回归领导者地位”的欲望。 　　而逆势增长的金融IT市场也的确给中联等金融IT服务商带来了机会。首先是国家4万亿元投资,都是通过银行进行资金流动运转的,巨大的资金量给银行核心业务系统带来了升级改造、网络的扩容,甚至于整个系统更新换代的机会; 其次是城市商行的跨区域经验和农信的重组改制,都会给金融IT服务商带来很大的机遇; 第三是发展村镇银行的机遇。银监会表示,目前我们的村镇银行只有97家,在3年之内发展到2000家,就是每个县有一家,未来这个方面的市场也非常巨大。 　　但是,与9年前相比,中联在金融IT行业面临着更加复杂和严峻的竞争形势。根据2008年IDC的报告,中联在国内银行IT解决方案商中营收总额排名第五,前面4位分别是东南融通、宇信易诚、神州数码、高伟达。而且从总体规模上看,排在前3位的公司的营收规模都在8亿元以上,中联与他们的差距不小。对此,奎建生解释说:“我们的收入看起来是不高,因为中联不做大量的硬件集成项目来充营业额,收入来源主要是产品和服务,我们在自主品牌产品销售额上是排名第一的。” 　　在银行IT服务领域,可以说个个都是大块头,中联都需要小心应对。近年来,随着宇信易诚、东南融通的上市,这两家公司在银行渠道类、管理类解决方案中占据了主流地位。在银行核心业务系统领域,特别是机会最大的城市商行和农信社的核心业务系统领域,中联面临的强敌是神州数码和高伟达; 而在企业资金管理方面,软通动力、九恒星等公司都已经虎踞龙盘,中联集团真的压力不小。 　　据记者了解,中联集团60%以上的营收来自城市商业银行和农信社的核心业务系统。与国有四大行相比,这个客户群对价格是比较敏感的,所以中联不得不应对价格竞争。奎建生在接受记者采访时坦承,在某些定单上,中联的确面临着价格竞争的压力。 “有些企业采用杀价的方式赢得定单,这完全是杀鸡取卵的方法,使得这个行业价格混乱,最后大家都没有饭吃,或者都拿不到定单。” 　　中联对单纯的价格竞争并不认同。奎建生说:“我还是愿意用买车这个例子来说明:如果客户的钱足够的话,他一定不会买夏利,而会买奔驰和宝马。我们的核心业务系统,起码是这个行业里面的劳斯莱斯。”中联希望更多地在咨询和服务方面体现自己的价值,“我们积累了20几年的经验,可以帮助客户去做前瞻性的规划,然后整合成一个完整的解决方案。中联的IT咨询管理服务是非常有优势的,这也逐渐成为中联的业务亮点。” 　　其实,中联集团归属安富利集团旗下带来的最具想像力的拓展空间是国际化市场,这也许是中联另辟蹊径取得成功的一个绝佳途径。在当天的新闻发布会上,安富利亚太区总裁邓建邦明确表示,“凭借安富利的战略投资,中联集团将加速打造中国一流的金融应用与服务品牌,并拓展亚洲及国际市场。” 　　在中联集团未来展望中,也明确提到,“通过安富利的国际化渠道,将拓展中联的解决方案和产品的客户销售渠道; 通过安富利的国际化渠道,将拓展和加强与更广泛合作伙伴的合作和营销渠道。” 　　设想一下,如果中联国际化之路能成功,毫无疑问将成就中联在中国金融IT行业领导者的地位。 　　 　　合适的规模最重要 　　 　　企业的生存要有价值,传统的分销和集成,其实就是“搬箱子”,这个价值是最低的。而且,因为分销业务需要巨大的资金量,如何保证现金流的健康运转是极其关键的,也是风险最大的。 　　中联集团很早就下决心转向产品和服务,就是为了化解我们业务的风险。现在我们有非常健康的现金流,还可以在金融IT行业立足,还可以获得不错的生存空间,就在于我们果断地进行了转型。 　　但是,对于任何一个公司来说,转型都是极其艰难的磨练,常常面临痛苦的抉择。中联2007年的营收是12亿元,但是卖掉分销业务后,业务规模缩小了一半。如果公司信奉“规模制胜”的话,是很难下定如此重大的决心的。 　　对中联而言,我们认为“合适的规模”最重要。如果继续做分销和集成业务,的确可以把营业额做得很高,报表显得很好看。但是利润很低,效率很低。这不是我们中联现在所追求的目标。
